Terms of Service
How working together works.
These Terms of Service explain how Graft Labs LLC builds and looks after websites for small, local businesses in the United States. We have tried to write them in plain English. Please read them before you accept a proposal, pay a deposit or ask for a sample.
Effective date: October 27, 2026 Last updated: October 27, 2026
1. Who we are and what these Terms cover
1.1“Graft Labs”, “we”, “us” and “our” mean Graft Labs LLC, a Washington limited liability company. “You” and “your” mean the business (and the person acting for it) that visits our website, asks for a sample, or buys our services.
1.2These Terms cover: (a) this website (the “Website”); (b) free demo samples of your homepage (a “Sample”); (c) website design and build projects (a “Build”); and (d) monthly care plans for hosting, checks and small edits (a “Care Plan”). Together, the Builds, Care Plans and anything else we do for you are the “Services”.
1.3Our Services are for small businesses and professionals based in the United States, wherever in the country they are. They are not offered for personal, family or household use. By using them you confirm that you are acting for a business.
1.4We may decline a request, or end an engagement, at our discretion, including for geographic, business-size or conflict-of-interest reasons. We are under no obligation to accept any client or project.
1.5Questions about these Terms: [email protected] or (971) 225-0136.
2. Acceptance, authority and the whole agreement
2.1You accept these Terms when you do any of the following: pay a deposit or any other fee, sign or accept a written proposal or order form (a “Proposal”) by email, electronic signature or any other clear written way, ask for or receive a Sample, or use the Services or the Website.
2.2If you accept for a business, you confirm that you have authority to bind that business, and “you” includes the business. If you do not have that authority, do not accept these Terms.
2.3Electronic acceptance (a reply email saying “I accept”, a clicked box, a typed signature or a payment) is as binding as a signature on paper. We may keep electronic records of your acceptance.
2.4These Terms and your Proposal (if any) are the entire agreement between you and us about the Services. They replace earlier discussions and emails. If a Proposal conflicts with these Terms on price or scope, the Proposal controls for that Build or Care Plan. In every other case these Terms control.
3. Using this website
3.1You may browse the Website for your own lawful business purposes. You agree not to: scrape, crawl or copy it in bulk; probe, scan or attack it; interfere with how it works; use it to send spam or unlawful content; try to get around its security or the noindex and access limits on Samples; or use it in a way that breaches the law or someone else’s rights.
3.2The text, design, layout, images, code and base styles on the Website, including our own site shown in re-styled form in our design gallery, belong to Graft Labs or its licensors. You may view them and share a link to the Website. You may not copy, republish, sell or adapt them without our written permission.
3.3The Website is general information about our business and is not professional advice. Descriptions, examples and prices on it are a guide, and a Proposal sets the final price and scope for your project. Please do not rely on the Website instead of asking us a question.
3.4The Website may link to other sites. We do not control or endorse them and are not responsible for what they say or do.
4. Free Samples
4.1A Sample is a live demo of a homepage that we prepare so you can decide whether to buy. It lives at its own unlisted link, is hidden from search engines (noindex), and may carry a visible demo notice or watermark. It is not a finished website and it is not a Build.
4.2You ask for a Sample through the request form on the Website (or by email). The form uses a spam check from Cloudflare and delivers your request to us by email through a provider. Submitting it does not create a contract, and details about how we handle what you send are in the Privacy Policy.
4.3Samples are free and neither side has any obligation because of one. We do not have to build you a Sample, and you do not have to buy anything. A Sample is available for 10 days after we send it to you, then it expires and we delete it, unless you have paid for the Build.
4.4We limit Samples to one per business. We may offer revisions and additional Samples (for example in a different base style) at our discretion and within reasonable limits. We may decline or stop a request at any time. Before we build, we may verify that you are a real business and that you have authority to ask, for example by a public business lookup and by replying only to an address that matches your business domain or a listing for it.
4.5A Sample stays our property and is our confidential information. While it is available, you get a limited, revocable, non-transferable licence to view it, and to show it to people inside your business, solely to decide whether to buy the Build from us.
4.6Unless and until you have paid for the Build, you must not: copy, publish, host or screenshot-and-republish the Sample; give it, its link or its files to another designer, developer, agency or website builder; reuse or adapt its design, code, structure, copy, styles or assets for any purpose; or sell or share it. The link is unlisted, but it is not secret. Anyone who has the link can open it, so please do not post or forward it outside your business.
4.7Anything you send us for a Sample (logos, photos, text and so on) must be yours to use, or you must have the owner’s permission. You give us permission to use it in the Sample and in the Build you ask us to quote.
4.8Misuse of a Sample is a breach of these Terms. Because the harm would be hard to measure, we may ask a court for an injunction and other equitable relief without posting a bond, in addition to any other remedy, and recover our reasonable costs, including attorneys’ fees, of enforcing this section.
4.9If you do not want to hear from us, or want a Sample taken down, email [email protected] and we will act as soon as we see it, and aim for one day.
5. Services and plans
5.1Our standard plans, at the time of these Terms, are as follows. Prices are in US dollars and exclude tax:
- Starter: $450 one-time build (a founding price, regularly $750) and $39 per month for the Care Plan. Up to 5 pages. 30 minutes of edits a month. Replies within 2 business days.
- Growth: $1,200 one-time build and $99 per month for the Care Plan. Up to 10 pages. 90 minutes of edits a month. Replies within 1 business day.
- Pro: $2,000 one-time build and $199 per month for the Care Plan. Up to 15 pages. 180 minutes of edits a month. Replies the same business day.
5.2The Starter founding price of $450 is available to a limited number of customers for a limited time, and it may end without notice. After it ends, Starter is $750. A customer who has accepted a written Proposal keeps the build price quoted in that Proposal. The Care Plan price stays as listed.
5.3The detailed scope of your Build (pages, features and deliverables) is set by the plan description on the Website and by your written Proposal. Anything outside that scope, such as extra pages, extra edit time or new features, will be quoted separately before we do any work, and we will not start it without your agreement.
5.4Edit time in a Care Plan is a monthly allowance. Unused time does not roll over. “Business days” are Monday to Friday, excluding US federal holidays. Reply times are targets for a first response by email. They are not a guarantee of a fix, and our Services are not a 24-hour or emergency service.
5.5Each Care Plan covers hosting of the site we built, routine checks, and small content edits within the monthly allowance. We may refuse or separately quote requests that need a major redesign, a new feature or specialist work.
6. What is not included
6.1Unless your Proposal says otherwise, the Services do not include:
- online stores, shopping carts or inventory systems
- custom web applications, user accounts or logins
- logo or brand design
- photography or video
- long-form copywriting or content strategy
- paid-advertising management
- email hosting or mailbox management
- legal, tax, accessibility-compliance or regulatory review of your content or claims
- any guarantee of search ranking, website traffic, enquiries, leads, sales or revenue
6.2We will tell you plainly when something is not a fit, and we can often refer you elsewhere. Work outside the scope is only done if we agree it in writing.
7. Schedule, feedback and delays
7.1We aim to launch a Build about a week after we have all of your content (text, photos, logos, access and decisions). That is an estimate, not a promise. Dates move if content or feedback arrives late, if access to your accounts is delayed, or for reasons outside our control.
7.2You agree to give feedback and approvals within 14 days of each request. If you go quiet for longer, we may pause the project, move you to the back of our schedule, or close it. If we close it, the deposit is kept for the work done and time reserved, and we will return any materials you sent.
7.3Please review your site carefully before you approve launch. Once you approve launch, or use or publish the site, you accept the work as delivered, apart from defects we should fix under the Care Plan.
8. Fees and payment
8.1Build price. The Build price is paid in two halves: 50% to start (the deposit) and 50% before launch. We start the Build when the deposit is paid. We publish the site to your domain only after the final payment has been received. Until then we may keep the site on a private preview.
8.2Deposit. The deposit covers time we reserve for you and the work we do. Once we have started work on your Build (beyond the free Sample), the deposit is non-refundable. If we cancel before we start, we will refund it in full.
8.3Care Plans. A Care Plan starts at launch and is billed monthly in advance until you cancel. It renews automatically each month through our payment provider. You can cancel at any time (see section 16), effective at the end of the current billing period. We do not give prorated refunds for part of a month.
8.4Price changes. We may change a Care Plan price by giving you at least 30 days’ written notice. If you do not want the new price, you may cancel before it takes effect.
8.5Taxes and third-party costs. Applicable sales and use tax is added where required by law. Hosting included in your Care Plan is covered by the plan. Domain registration, renewals, paid plugins, and any other third-party services you choose are your cost and are paid directly to the provider.
8.6Payment processing. Payments are processed by a third-party payment provider (currently Stripe). Your card details are handled by that provider and do not touch our systems. The provider’s own terms apply to the payment.
8.7Late or failed payment. If you do not pay on time we may pause work, suspend Care Plan services and, after written notice of at least 7 days, take the site offline until the account is current. Overdue amounts may carry a late fee of 1.5% per month or the maximum the law allows, whichever is less, plus reasonable collection costs and attorneys’ fees.
8.8Chargebacks. Please contact us first if you have a billing concern, because we can usually fix it quickly. If you dispute a charge with your card issuer without first giving us a chance to resolve it, we may suspend the Services and treat the amount as unpaid.
9. Your responsibilities and your content
9.1You agree to give us accurate and complete information and content, to answer questions promptly, and to give us the access we need to your domain, hosting and business listings.
9.2You promise that you own, or have all the rights and permissions you need to use, everything you give us or ask us to publish. This includes text, photos, logos, trademarks, testimonials and reviews. Testimonials and reviews must be genuine, from real customers, and published with their permission.
9.3You are responsible for what your site says. That includes the accuracy and legality of your claims, prices, guarantees and warranties, licence numbers, certifications, memberships and accreditations (for example BBB accreditation), before-and-after photos, testimonials and advertising. You are also responsible for following the laws and rules that apply to your trade or profession. Examples are the notary public advertising rules of your state, real estate and contractor licensing and advertising rules, consumer protection laws and the FTC’s rules on endorsements.
9.4We are not your lawyer, accountant or regulator. We do not review your content for legal or regulatory compliance and we do not give legal, tax or regulatory advice. If you are unsure, ask a qualified adviser.
9.5Please keep your own copies of your content, photos and logos. We take care of the site we host, but you should not rely on us as your only backup.
10. Domains, hosting and availability
10.1Your domain name is registered in your name, with you as the owner. You can bring a domain you already own, or we will walk you through registering one in your name with a registrar of your choice. You are responsible for renewing it, keeping your registrar account and login details safe, and keeping your contact details current.
10.2We host the site as part of your Care Plan on third-party infrastructure (a major global hosting network). We aim for high availability but we do not guarantee uptime, speed or error-free operation. We may schedule maintenance, make emergency changes, or change hosting providers if we need to, and we will tell you of any change that affects you.
10.3We are not responsible for downtime or loss caused by third-party outages, your registrar, internet or power failures, attacks, or other events outside our reasonable control.
11. Third-party services and Google Business Profile
11.1Our Services depend on third parties such as payment providers, hosting and network providers, domain registrars, email providers, Google, social platforms and review sites. They have their own terms and can change or stop their services. We do not control them, do not endorse them, and are not responsible for what they do.
11.2If we help with your Google Business Profile, we will be added as a manager only with your approval and only for the tasks we agree. You must remain the owner of the profile. We do not guarantee that Google or any other platform will approve, rank or show your listing, or that it will keep your profile active.
12. Ownership and licences
12.1What you own. You own the content you supply. Once you have paid all fees due, you also own the final custom content and design deliverables we created specifically for you in your Build.
12.2What we keep. We keep all rights in our tools, templates, base styles, code libraries, methods, know-how and general techniques, including anything that is not specific to you. We may use and reuse them for other clients. Nothing in these Terms transfers them to you.
12.3Your licence to the finished site. Once you have paid all fees due, you get a non-exclusive, worldwide, perpetual licence to use the finished site, as delivered to you, for your own business. This licence continues even if you cancel your Care Plan and leave us, as long as you have paid what you owe.
12.4Limits. You may not resell, sublicense or distribute our templates, base styles or underlying tooling as a product or service, or use them to compete with us. Third-party components (such as fonts, icons or libraries) keep their own licences, which apply to your use of them.
12.5Feedback. If you suggest improvements to our Services, we may use them without owing you anything.
13. Portfolio and credit
13.1Unless you ask us in writing not to, we may show your finished site and screenshots of it in our portfolio and marketing, and we may place a small credit link to Graft Labs in the footer. If you would like the footer credit removed, just ask and we will remove it.
13.2We will not use your name, logo or a testimonial from you in our marketing without your permission, other than the portfolio use above.
14. Exports and no lock-in
14.1You can ask for a downloadable snapshot of your site (the built site files and your content) at any time. We will provide it within a reasonable time, normally within 5 business days. Ordinary requests are free. We may charge a reasonable fee if you ask unusually often or for unusually large exports.
14.2If you cancel your Care Plan, we will give you a final snapshot, the finished site files. We will remove our own access to your accounts within 5 business days.
14.3After we deliver the final snapshot, you are responsible for hosting the site. We have no duty to keep it live beyond the end of the period you have paid for. We may delete the copies we hold 90 days after the Services end, unless the law requires us to keep them.
15. Confidentiality and personal data
15.1Each side agrees to keep the other’s non-public information confidential, to use it only for the Services, and to protect it with reasonable care. This does not cover information that is public through no fault of the receiver, was already known to the receiver, is independently developed, or must be disclosed by law (in which case the receiver will give prompt notice where it can).
15.2Personal information collected through your website (for example, from your contact form) belongs to you, and you are responsible for it as the owner of the site. We handle it only on your behalf and only to provide the Services, and we will take reasonable steps to keep it secure. You are responsible for your own privacy policy and for complying with the privacy laws that apply to your business.
15.3How we handle information about you is described in our Privacy Policy.
16. Term and termination
16.1Care Plans run month to month. Either side may end a Care Plan for convenience, effective at the end of the current billing period, by giving written notice. Email is enough.
16.2We may suspend or end the Services immediately if you do not pay, if your content or business is unlawful, infringing, misleading or harmful, if you abuse or threaten us or our contractors, or if you breach these Terms and (where it can be fixed) do not fix it within 5 business days of our notice.
16.3When the Services end: amounts you owe remain payable; we will provide the final snapshot and site files described in section 14; and the sections that by their nature should continue will continue, including ownership, confidentiality, fees owed, disclaimers, limits of liability, indemnity and disputes.
17. Disclaimers
17.1To the fullest extent the law allows, the Website, Samples, sites and Services are provided “as is” and “as available”. We do not make any warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that the Services will meet your needs.
17.2We do not promise any particular result. In particular we do not guarantee search rankings, traffic, leads, sales or revenue, or that the site will display perfectly on every device, browser or connection. Some places do not allow certain disclaimers. In those places, ours apply only as far as the law allows.
18. Limitation of liability
18.1To the fullest extent the law allows, Graft Labs and its members, managers, contractors and agents will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, business, goodwill or data, however caused, even if told they could happen.
18.2To the fullest extent the law allows, our total liability to you for all claims arising out of or related to the Website, Samples, Builds, Care Plans or these Terms is limited to the fees you paid to Graft Labs in the 3 months before the claim arose.
18.3These limits apply to every claim, whether based on contract, tort (including negligence), statute or anything else. They do not limit liability that the law does not allow to be limited. You acknowledge that our prices reflect this sharing of risk, and that we would not offer the Services at these prices without it.
18.4Any claim by you must be brought within 1 year after it arose, to the extent the law allows. A claim brought later is barred.
19. Indemnification
19.1You will defend, indemnify and hold harmless Graft Labs LLC and its members, managers, contractors and agents from claims, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: your content and your business; your use of the site or the Services; your breach of these Terms; your violation of any law; or your violation of anyone else’s rights, including intellectual property, privacy, publicity and advertising or consumer-protection rights.
19.2We will tell you promptly about any claim we want you to cover. You may not settle a claim in a way that admits fault for us or limits our rights without our written consent.
20. Governing law and disputes
20.1These Terms and any dispute about them or the Services are governed by the laws of the State of Washington, without regard to its conflict-of-law rules.
20.2If a dispute arises, either side will first give the other written notice describing it, and both will talk in good faith for 30 days to try to resolve it. If that does not resolve it, the state and federal courts located in Washington have exclusive jurisdiction, and each side agrees to their jurisdiction and venue. Either side may bring a qualifying claim in small claims court.
20.3The side that prevails in a dispute may recover its reasonable attorneys’ fees and costs from the other side.
20.4To the extent the law allows, each side agrees to bring claims only on its own behalf and not as a plaintiff or class member in any class, collective or representative action.
20.5Despite the steps above, we may seek an injunction or other urgent relief from a court at any time to stop or prevent misuse of our intellectual property or confidential information, including a Sample.
21. Email outreach
21.1We sometimes email local businesses at business contact addresses that those businesses have published themselves. We do so in line with the CAN-SPAM Act. Every message includes a way to opt out, we handle opt-out requests as soon as we see them (the law gives us up to 10 business days, and we aim for one day). To opt out, email [email protected].
22. General terms
22.1Assignment. We may assign these Terms, for example in a sale of our business. You may not assign them without our written consent.
22.2Subcontractors and vendors. We may use subcontractors, tools and vendors to provide the Services. We remain responsible for our own obligations to you.
22.3Independent parties. We are independent contractors. Nothing here makes us your employee, partner, agent or joint venturer.
22.4No third-party beneficiaries. These Terms are for you and us only, except that our members, managers, contractors and agents can rely on the limits and protections in them.
22.5Severability and waiver. If any part of these Terms is unenforceable, the rest stays in force and the unenforceable part is changed only as much as needed. If we do not enforce a right straight away, we have not given it up.
22.6Notices. Notices to us go by email to [email protected]. Notices to you go to the email address you gave us. A notice by email counts as delivered when it is sent, unless we get a bounce.
22.7Changes to these Terms. We may update these Terms by posting a new version with a new date. For Care Plans, if you keep using the Services after an update you accept it. For material changes we will give 30 days’ notice. Changes do not alter the price or scope of a Build that is already under way under an accepted Proposal.
22.8Events outside our control. Neither side is liable for delay or failure caused by events outside its reasonable control, such as outages, disasters, public-health events, government action, labour disputes or failures of third-party services. Payment obligations are not excused by this clause.
22.9Interpretation. Headings are for convenience. “Including” means “including without limitation”. These Terms are not construed against either side as the drafter.
22.10No legal advice. These Terms and our Website are not legal advice to you.
22.11Counterparts and electronic signatures. A Proposal or these Terms may be accepted in counterparts and by electronic signature.
